Prior to joining GRATA International Law Firm, Yana Dianova worked as in-house counsel in Nissan Motor Rus, as an Associate in Tax and Legal Department of Mazars and the Moscow office of Squire Sanders international law firm.

Corporate, M&A and Finance:

  • Provided for establishment of a joint venture of Italian and Kazakhstani investor and prepared its corporate agreement;
  • Supported sale and purchase transaction of 100% shares of a Russian JSC by a foreign investor;
  • Provided for establishment of a branch of a major Kazakhstani construction company in Russia;
  • Provided for establishment of a subsidiary of a European manufacturing company in Russia;
  • Advised French public companies on the implementation in Russia of share option plans for employees;
  • Advised major Chinese banks in connection with loan transactions with the largest Russian banks, including the due diligence and issuing legal opinions;
  • Advised a major Chinese bank in connection with      the proposed financing of construction of a manganese refining plant in Russia and providing loans to Russian banks.  

Commercial,  Intellectual Property and Life Science:

  • Advised on contractual and personal data protection matters and represented a European provider of mobile phones servicing in connection with entering into agreements with the largest Russian mobile operators;
  • Developed model franchise agreements and software software development contracts, as well as and the documents for protection of commercial secret (know-how), for an IT start-up, represented its interests in appealing the actions of the state and municipal customers in the course of public procurement to the Federal Antimonopoly Authority of Russian Federation.
  • Represented a Russian franchisee in connection with entering into the general franchise agreement the USA network of fast food restaurants;
  • Developed model agreements and commercial policy for a Russian subsidiary of a Swiss manufacturer of industrial equipment, advised on personal data processing compliance under GDPR;
  • Represented the USA construction management company in negotiations of a contract with a major developer in Moscow and in employment dispute with a former employee; conducted trainings on anticorruption compliance under Russian law for its employees;
  • Provided for legal support of the activities of a medical devices distributor, including the development and examination of various contracts and internal regulations (i.e. the processing of personal data and commercial secrets), advising on advertising, state procurement and employment matters, protection of trademarks;
  • Advised a Chinese manufacturer of dietary supplements on certification, state registration and labeling of products in Russia.
