Sitora Kozimjanova is an Senior Associate in the Corporate practice of the Tashkent office. Her main areas of focus are corporate law, investment law, labor and employment matters. 

Her practice encompasses supporting major market entry transactions, advising on investment projects, assisting with the registration of legal entities, and providing legal consulting services to non-governmental organizations, representative offices of foreign companies and international organizations in Uzbekistan.

She has further advised foreign clients on a broad range of matters, including drafting, negotiating and compliance reviews of corporate documents, shareholder agreements, joint venture agreements, contracts, legal due diligence reviews, and the preparation of legal memorandums on corporate and transactional issues.

  • Participated in drafting, negotiation processes of investment agreements with Ministry of Investment, Industry and Trade of the Republic of Uzbekistan, various Special Economic Zones.
  • Participated in privatization process of telecommunication company, coordinated works on preparation of the legal due diligence report of the target, analysis of risks associated with existing labor and employment documents of the target, assisted with registration in e-auksion system, reviewed draft SPA;
  • Advised clients on corporate structuring, governance, and day-to-day legal and regulatory compliance. 
  • Participated in M&A transactions, including legal due diligence, drafting, reviewing and negotiating transaction documents, and supporting deal execution. 
  • Advised on labor and employment matters, including hiring, termination, internal policies, and dispute-related issues. 
  • Assisted clients in obtaining licenses, permits, and regulatory approvals. 
  • Supported foreign companies in establishing and operating legal entities, Representative Offices in Uzbekistan, including corporate registration and ongoing compliance.
