The Register of Ultimate Beneficial Owners in the Kyrgyz Republic: Its Purpose and How It Works in Practice

Introduction

Since late 2025 and early 2026, a new institution of corporate transparency has been taking shape in the Kyrgyz Republic: the obligation of legal entities to disclose information about their ultimate beneficial owners, together with an electronic database of such information. For businesses, this means the emergence of yet another registration obligation, while for the State it represents an important step in the system for combating money laundering and the financing of terrorism. 

The legal framework comprises several instruments:

  •     the Law of the Kyrgyz Republic “On Combating the Financing of Criminal Activity and the Legalization (Laundering) of Criminal Proceeds” No. 87 dated 6 August 2018;
  •    Resolution of the Cabinet of Ministers of the Kyrgyz Republic “On Measures for the Implementation of the Law of the Kyrgyz Republic ‘On Combating the Financing of Criminal Activity and the Legalization (Laundering) of Criminal Proceeds’” No. 739 dated 14 November 2025, which also approved a number of regulatory acts, including the Regulation on the Electronic Database of Ultimate Beneficial Owners of Legal Entities, as well as the Regulation on the Procedure for Conducting Customer Due Diligence;
  •   the Regulation on the Procedure for State Registration of Legal Entities, Branches and Representative Offices, approved by Resolution of the Cabinet of Ministers of the Kyrgyz Republic No. 257 dated 17 April 2026.

In this article, we examine the rationale behind these rules, the objectives pursued by the legislator, how the ultimate beneficial owner is determined, and the practical issues that companies face in fulfilling this new obligation.
