Structuring and Launch of a Multi-Jurisdictional Business Presence in Armenia

Structuring and Launch of a Multi-Jurisdictional Business Presence in Armenia

Our corporate team advised an international group on establishing and structuring its presence in Armenia as part of a broader regional expansion strategy. The project required a comprehensive analysis of the regulatory environment, tax considerations, and optimal corporate governance structure.

We assisted the client in selecting the most efficient legal structure, setting up the Armenian entity, and drafting key corporate documents, including shareholder agreements and internal governance policies. Particular attention was given to risk allocation mechanisms, minority shareholder protections, and compliance with local legislation.

In addition, we coordinated with foreign counsel to ensure alignment with the group’s global structure and standards. As a result, the client successfully launched its operations in Armenia with a clear, compliant, and scalable corporate framework, minimizing legal and operational risks from the outset
