Ainun is a seasoned banking and finance lawyer offering comprehensive counsel across the entire financing transactions. Specializing in domestic and cross-border corporate finance transactions with a focus on bilateral loan, syndicated credit facilities and complex secured lending transactions, Ainun also brings substantial experience in capital markets, mergers and acquisitions, foreign direct investment (including structuring and set-ups), joint ventures, general corporate and commercial, regulatory compliance and licensing. She also advises corporate borrowers and financiers in relation to distressed loans, corporate and debt restructuring.

Adept at bringing together and coordinating multi-disciplinary teams of lawyers, accountants, tax experts and risk advisors, she has led and assisted both domestic and multinational clients on their strategic financing transactions, corporate actions, regulatory compliance and licensing, market entry and expansion to Indonesia across a diverse range of highly regulated industries, from financial services, digital payment and fintech to energy and natural resources, TMT (technology, media and telco) and tourism, including liaising with key stakeholders on regulatory matters to provide a reliable guide to the clients in navigating the regulatory maze and dynamic legal landscapes in Indonesia.

Among her notable transactions, Ainun assisted both PT Adaro Indonesia as the borrower and PT Alamtri Resources Indonesia Tbk (previously PT Adaro Energy Tbk as the guarantor in a USD 400 million syndicated loan transactions, and also advised PT Bank OCBC NISP Tbk as the facility agent for the extension of IDR 1.3 trilion and USD14 million credit facilities to an Indonesia palm plantation company. In other significant financing mandates, Ainun was a key contributing lawyer on the lender side in the provision of USD 75 million loan facilities from ABN Amro Bank N.V Singapore to an Indonesian plantation company, and also acted for UOB Kay Hian Credit Pte. Ltd in a USD 45 million credit facility arrangement entered into with a publicly listed Indonesian property company.

  • Represented PT Adaro Indonesia as the borrower and PT Adaro Energy Tbk as the guarantor in a USD400 million syndicated loan;
  • Represented PT Adaro Power as the borrower and PT Adaro Energy Tbk as the guarantor in a USD120 million syndicated loan;
  • Represented PT Makmur Sejahtera Wisesa as the borrower and PT Adaro Energy Tbk as the guarantor in a USD80 million syndicated loan;
  • Represented PT Saptaindra Sejati as the borrower and PT Adaro Energy Tbk. as the guarantor in a USD350 million syndicated loan;
  • Represented PT Adaro Indonesia as the issuer and PT Adaro Energy Tbk as the guarantor in the USD 750 million global bond issuance;
  • Other Financing: (i) represented PT Pengembangan Pariwisata Indonesia (Persero) / Indonesia Tourism Development Corporation (ITDC) as the borrower in an IDR1,188,000,000,000 facility from Indonesia Eximbank under the National InterestAccount, (ii) represented ABN Amro Bank as the lender in a USD75 million facility agreement provided to a group of Indonesian oil palm plantation companies; (iii) represented ITDC as the borrower in an IDR1 trillion and EUR14million facility provided by the Association of State Owned Banks/Himbara.
  • Financing: (i) represented PT Bank OCBC NISP Tbk for an IDR1trilion facilities agreement to an Indonesia palm plantation company, (ii) represented EFA RET Management Pte. Ltd. on a USD15.5 million facility agreement to an Indonesian property company;
  • Initial Public Offering: (i) represented Credit Suisse as underwriters in an international initial public offering of PT Medikaloka Hermina Tbk, a major healthcare provider group with an offering size valued at approximately IDR 1.650 billion, (ii) represented PT Garudafood Putra Putri Jaya Tbk, an Indonesia leading food and beverage manufacturer on the Initial Public Offering with value of IDR 979 billion;
  • Global Bond Issuance: (i) represented CLSA Limited, Credit Suisse, DBS, Mandiri Securities Pte. Ltd, Morgan Stanley Asia (Singapore) Pte, and Standard Chartered Bank as the Initial Purchasers in the US$500 million global high yield bond offering by Medco Platinum Road Pte. Ltd. guaranteed by PT Medco Energi Internasional Tbk, (ii) represented CITIC CLSA Securities, Credit Suisse, J.P. Morgan, Australian and New Zealand Banking Group Limited and Mandiri Securities as the Initial Purchasers in the US$400 million global high yield bond offering by Medco Strait Services Pte. Ltd. guaranteed by PT Medco Energi
    Internasional Tbk; (iii) represented Credit Suisse, DBS and Standard Chartered Bank as domestic counsel in the global high yield bond issuance of US$300 million by Golden Energy Resources Limited;
  • Represented Credit Suisse, Deutsche Bank, UBS and PT Indo Premier Sekuritas as joint bookrunners in the private placement in form of offering of shares under Reg S/Rule 144A of 648,508,000 shares by PT Mitra Aktif Adiperkasa Tbk;
