Experience

Corporate and M&A:

  • Assisted the Client with the contribution of immovable property to the share capital of a company specialising in the manufacture of advertising stands;
  • Assisted the Client with a reorganisation involving the conversion of a private unitary enterprise into a limited liability company;
  • Assisted the Client with the process of changing the ownership structure of a major supplier of modular equipment and electrical products. As part of the project, shares in the share capital were disposed through sale, and shares were also gifted between close relatives;
  • Assisting the Client in obtaining the Permit from the Council of Ministers of the Republic of Belarus for the disposal of shares in the share capital of the Belarusian legal entity (a major supplier of construction machinery and equipment) owned by a resident of an ‘unfriendly’ state;
  • Assistance in developing a corporate governance framework for a non-profit sports association;
  • Assistance in implementing a financial control system within the corporate governance model of a group of companies – a major producer of animal products and animal feed;

Employment:

  • Assistance with the transition of senior management at a limited liability company during a corporate dispute;
  • Assistance with the preparation of the documentation required for the recruitment of staff and for the termination of employment;
  • Participation in the drafting of the employer’s internal regulations governing employment relations, such as rules of conduct at work and regulations on remuneration and bonuses;
  • Participation in providing advice on the re-registration of employment contracts with employees of a representative office of a foreign company in connection with the registration of a branch of that foreign company within the Republic of Belarus.
