Managing Partner, Director of Baku office

Ummi Jalilova has over 14 years of experience in matters of corporate law, commercial law, contract law, labour law, administrative law and international law.

Ummi heads GRATA International law firm’s Baku office and represents local and international clients on a wide range of employment, corporate issues and international business transactions. Her recent representative matters relate to corporate reorganization transactions, including mergers and acquisitions involving multiple jurisdictions, employee share option schemes, leading the team dealing with liquidation of legal entities, recognition of judgments of foreign courts and arbitration institutions in Azerbaijan, drafting and reviewing employment agreements, handbooks and policies, providing guidance/recommendations on mutual separation agreements and voluntary separation schemes, retrenchments, and matters related to employee discipline, including dismissals and misconduct. Currently, Ms.Jalilova also leads local counsel in ADB project, i.e. in Transaction advisory segment of PPP in Azerbaijan, including preparation of amendments to the current regulatory acts in order to improve legislation to make PPP projects in Azerbaijan attractive and comfortable for foreign and local investors.

  • Acted as a local legal counsel of Rolls-Royce in Azerbaijan in sale of its Energy Gas Turbine and Compressor business to Siemens.
  • Advising a US multinational manufacturer of networking equipment as to liquidation and deregistration of its Branch in Azerbaijan.
  • Providing legal support to and representing the Turkish company in liquidation of the Company’s subsidiary in Azerbaijan after acquisition of its business by a different company.
  • Advising a local Representative Office of a foreign oil company on liquidation and de-registration in Azerbaijan.
  • Advising Optilan (UK) Limited, a subcontractor of a major oil company in Azerbaijan on corporate aspects of dissolution, incorporation of an LLC and asset transfer from the entity being liquidated
  • Advising a Swedish Telecommunication Company on a number of matters and conducting Due Diligence of the target company (M&A project) in Azerbaijan.
  • Advising a UK Telecommunication Company on regulatory matters in Azerbaijan.
  • Advising a European Company acting as Global Distribution System on various corporate matters, including M&A regulations.
  • Advising a European telecommunication Company on various commercial, corporate and regulatory matters, and immigration law in Azerbaijan.
  • Advising a French Telecommunication Company on various commercial, corporate and regulatory matters (including reorganization through merger) and immigration law in Azerbaijan.
