Imanuel is a Partner of NARA Law and leads its Corporate, Commercial and Capital Markets Practice Group. He specializes in corporate and commercial, capital markets, mergers and acquisitions, foreign investments, debt and equity financings, corporate restructurings, and joint ventures.
Prior to joining NARA Law, Imanuel worked for Assegaf Hamzah & Partners, the largest law firm in Indonesia which is also a member of Rajah & Tann Asia for 13 years. During his 15 years’ experience as a transactional lawyer, Imanuel has advised issuers and underwriters, multinational private and public companies, and state-owned enterprises on a full spectrum of cross-border and domestic capital markets transactions, mergers and acquisitions, and equity/debt financings. His expertise also covers compliance matters such as corporate governance, affiliated transactions, material transactions, conflicts of interest, public disclosures, mandatory tender offers, and private placements. His experience includes advising clients on Rule 144A and Regulation S equity/debt offerings.
Throughout his career, Imanuel has successfully acted as a team leader in the IPOs of almost a dozen companies on the Indonesia Stock Exchange. This includes the largest IPO in Indonesia at the time, where he represented Bukalapak, the first e-commerce company to go public in the country. In this landmark capital market transaction, the shares were also offered to international investors under Rule 144A and Regulation S of the U.S. Securities Act of 1933, thereby generating IPO proceeds of approximately IDR 21.9 trillion. He is well-versed in coordinating and supervising legal due diligence, transaction structuring and had an instrumental role in assisting a long list of established companies in drafting and reviewing transaction documents, sales and purchase agreements, loan/facility agreements, security arrangements/documentation, prospectuses, and offering memorandums related to clients’ corporate actions and IPOs.
Imanuel has in-depth industry knowledge and extensive transactional experience in financial services, insurance, e-commerce, information technology, energy, mining and natural resources, plantation, forestry, aviation, food and beverages, manufacturing and trading sectors. He has broad experience in securing operational licenses and permits for domestic and international clients and investors, enabling them to commence businesses in these sectors. This work involves precise stakeholder mapping and analysis, along with a strong, comprehensive, and practical understanding of sectoral regulations in the industries where the clients operate.
