Corporate & Commercial

  • Drafted, reviewed and negotiated JV, share acquisition and other commercial agreements in compliance with applicable laws, assisting in-house drafting functions within corporate legal departments.
  • Led contract documentation for large-scale commercial operations, including advisory work on a dealership framework with a China-based electric vehicle (EV) manufacturer and distributor.
  • Conducted legal due diligence on statutory documents, corporate and property-related documents including review of titles and encumbrances as part of pre-transaction assessments.
  • Advised and independently drafted workforce contracts involving up to 3,000 foreign workers, establishing clear employment terms and labour regulations compliance.
  • Supported preparation of tender documents, structured reports and correspondences for completeness and timely submission to the stakeholders.
  • Supported the drafting of technology, media and telecommunications (TMT) service-related documentation, including licensing, master service agreement, service level agreement and other standardised SaaS documentation.
  • JV and construction agreement with a publicly listed company for a mixed development project, valued at approximately RM40 billion, enabling the client to secure project financing.
  • Key agreements and board resolutions for a private equity fund management GLC’s shares acquisition of a family-owned pharmaceutical company.
  • Contingent contract between an oil and gas firm and the State Government for the acquisition of 100 acres of land for a power plant project.

Legal Opinion and General Advisory

  • Assisted in the research and drafting on diverse issues including:
  • Legal validity of a federal directive to dissolve a statutory body without revoking its establishing statute, providing counsel that guided the client’s strategic response.
  • Contractual disputes and cross-border issues, including United States laws on sanctions, export controls and embargoes, for a public listed telecommunications GLC, ensuring compliance with international regulations.
  • Tenancy, employment, disciplinary and regulatory compliance matters for a construction firm owned by the Selangor state statutory body.
  • Money-laundering red flag identification and money-lending licensing for a non-bank financial service company, strengthening anti-fraud controls and guiding clients on compliant operations.
