Denis Shestakov, Partner at GRATA International and Head of the Restructuring and Bankruptcy Practice, conducted a webinar for Yurist Kompanii magazine, focusing on the personal liability of company directors, grounds for claims for damages and subsidiary liability, as well as legal risks associated with delegating authority under a power of attorney.
During the webinar, the expert examined the legal grounds and limits of directors' liability, the circumstances under which a director may be held liable for damages, and the conditions giving rise to subsidiary liability.
Particular attention was paid to the risks associated with delegating managerial authority. Denis Shestakov analysed the legal implications of granting broad powers of attorney, transferring certain management functions to authorised representatives, and the mechanisms available to monitor their actions.
The webinar also covered the criteria for assessing directors' good faith and reasonableness, the differences between claims for damages and subsidiary liability, and practical measures aimed at mitigating the risks of personal liability for company directors.
