Yana Dianova is a Counsel at the Corporate and Commercial Practice of the Moscow office of GRATA International. Yana specializes in supporting joint ventures and mergers and acquisitions transactions, as well as advising and supporting clients in the areas of intellectual property rights, personal data processing, regulation of pharmaceuticals, dietary supplements and medical devices.
Prior to joining GRATA International, Yana Dianova worked as the Legal Officer at Nissan Motor Rus, as well as Legal Counsel in the Tax and Legal Department of the international consulting company Mazars, and as Legal Counsel at the international law firm Squire Sanders.

Corporate Law, M&A, Financing:
- Provided for the establishment of a joint venture between investors from Kazakhstan and Italy (including drafting of a shareholders' agreement) and of a subsidiary of a Chinese automotive manufacturer
- Advised on a share purchase and sale transaction with a put option within an international group of companies — a leader in the field of testing, inspection, and certification
- Coordinated due diligence of a subsidiary of a manufacturing group (Singapore) for an IPO
- Drafted and advised on the execution of a shareholders' agreement between investors of a joint venture in the HoReCa sector
- Advised major international pharmaceutical and food companies on the implementation of employee stock option programs
- Advised on credit facility transactions between major Russian banks and Chinese banks, including preparation of loan and pledge agreements, issuing legal opinions
Intellectual Property Rights, Personal Data, Commercial Contracts:
- Conducted due diligence of software rights for an IT company (USA), prepared amendments to employment contracts and consulting services agreements with the software developers to mitigate risks of dispute
- Conducted a comprehensive personal data processing audit, developed documentation for compliance with personal data legislation (including privacty policies, consents for processing, data processing agreements, local regulatory acts) for a group of manufacturing and trading companies
- Drafted the agreements for software development, model franchise agreements, equipment and service supply agreements, as well as trade secret protection documents for an IT startup (VR)
- Advised an international company Digital Care, including negotiation of agreements with major telecommunications operators, prepared personal data processing documentation
- Advised a Swiss manufacturer of industrial equipment on advertising, personal data protection, labor and antitrust law matters, conducted due diligence of counterparties, and drafted distribution agreements and commercial policy
- Provided full legal support to Covidien Eurasia (a distributor of medical equipment), including protection of trademark rights, advice on labor and regulatory matters, as well as restructuring of the Russian business following the M&A transaction with Medtronic
- Advised on commercial, labor, and corporate law matters and supported cross-boarder projects of an international pharmaceutical company Astellas Pharma in the CIS countries
