The Law of Ukraine "On Limited and Additional Liability Companies"
On February 6, 2018, the Parliament of Ukraine adopted the Law of Ukraine "On Limited Liability Companies" (project No. 4666 dated May 13, 2016), which changes the procedure for registration and management of these types of companies.
From now on, when registering companies with limited and additional liability, the first edition of the company's charter must be signed by all members of the company. Authenticity of signatures of participants is certified by a notary.
Under the new Law, decisions regarding the amendment of charter, the changes in the authorized capital, and winding up of the company are taken by three-fourths of the votes of all participants in the company who have the right to vote on the relevant issues.
A limited liability company and a company with additional liability are exempted from paying an administrative fee for registering changes to the company's charter in connection with complying it with the Law.
